Terms & Conditions
These Terms & Conditions (the "Terms") are a binding agreement between you ("you", "your", or "Customer") and Careerlister LLC, a Georgia limited liability company ("CareerATS", "we", "us", or "our"). They govern your access to and use of the CareerATS web application, related services, websites, and communications (collectively, the "Services"). If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
1) Service Overview
CareerATS provides applicant tracking and recruiting workflow tools. The Services let you collect, store, and process candidate data, collaborate with teammates, and communicate with candidates. We may update or improve features over time.
2) Eligibility and Accounts
- You must be at least 18 years old and able to form a contract. If you use the Services on behalf of an entity, that entity is the Customer.
- You are responsible for maintaining account security, including safeguarding credentials and restricting access to authorized users.
- You must provide accurate registration information and promptly update it when it changes.
3) Your Data and Candidate Data
- You control the data you submit to the Services, including personal data about you, your team, and your candidates ("Customer Data"). You must ensure you have the right to collect and share Customer Data with us.
- You are responsible for obtaining all required notices and consents from candidates and other individuals whose personal data you submit. Do not upload data you are not authorized to process.
- We process Customer Data solely to provide, secure, support, and improve the Services, to comply with law, and as otherwise permitted under these Terms or a separate data processing agreement if executed.
4) Data Collection and Use by CareerATS
We collect and use data in the following ways to run the Services:
- Account data: contact details, login credentials, and settings to create and manage your account.
- Usage data: activity logs, device/browser metadata, and diagnostics to secure the platform and improve performance.
- Candidate data you submit: resumes, interview notes, communications, and evaluation decisions to deliver applicant tracking features.
- Communications: messages you send through the Services and support interactions, which may be scanned for abuse prevention.
- Integrations: data exchanged with authorized third-party services (for example, email or calendar providers) per your configuration.
We do not sell personal data. We may share data with subprocessors (such as cloud hosting, analytics, or email delivery providers) that help us operate the Services, each under contract to safeguard personal data. We may also share data if required by law or to protect the security, rights, or property of you, CareerATS, or others.
5) Data Security, Retention, and Deletion
- We implement reasonable administrative, technical, and physical safeguards designed to protect Customer Data.
- You are responsible for securing your devices, network access, and permissions granted to your team and third-party integrations.
- We retain Customer Data for the period needed to provide the Services or as required by law. You may request deletion of Customer Data, subject to any legal retention obligations and our need to maintain business records.
- If you close your account, we will delete or de-identify Customer Data within a reasonable period unless retention is required by law.
6) Privacy and Data Subject Rights
- Our handling of personal data is described in these Terms and any posted privacy notice. If there is a conflict, the privacy notice controls for privacy-specific matters.
- Where applicable law grants data subject rights (e.g., access, correction, deletion, portability, or objection), we will help you respond to requests when they relate to Customer Data we process for you.
- You must not use the Services to collect sensitive personal data unless permitted by law and necessary for your hiring process.
7) Acceptable Use
You agree not to:
- Use the Services in violation of law, including employment, privacy, or anti-spam laws.
- Upload, transmit, or store unlawful, discriminatory, or infringing content.
- Misuse personal data (including candidate data) beyond the purposes for which it was collected or without required notice/consent.
- Probe, scan, or test system vulnerabilities, or attempt to bypass security or rate limits.
- Interfere with or disrupt the Services, including by using automated scraping or bulk extraction without our written permission.
- Use the Services to build a competing product or to reverse engineer proprietary components.
8) Intellectual Property
- CareerATS owns all rights, title, and interest in the Services, including software, branding, and content we provide.
- You grant us a limited license to use Customer Data as necessary to provide and support the Services.
- Feedback or suggestions you provide may be used by CareerATS without restriction or obligation.
9) Third-Party Services and Integrations
- The Services may link to or integrate with third-party products. Your use of those products is governed by their terms and privacy policies.
- CareerATS is not responsible for third-party services, and we may disable an integration that threatens security or violates these Terms.
10) Service Changes and Availability
- We may modify or discontinue features, and we may release previews or beta features with limited support.
- The Services may occasionally be unavailable due to maintenance, planned downtime, or events beyond our reasonable control.
11) Suspension and Termination
- We may suspend or terminate access if you materially breach these Terms, fail to pay any agreed fees, or pose a security/operational risk.
- You may stop using the Services at any time. If you have paid services, any cancellation terms in your order or separate agreement apply.
- Upon termination, your right to use the Services ends, but sections that should reasonably survive (e.g., confidentiality, IP ownership, disclaimers, liability limits) will remain in effect.
12) Disclaimers
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, CareerATS disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free service. You are responsible for compliance with hiring, privacy, and employment laws applicable to your use of the Services.
13) Limitation of Liability
To the fullest extent permitted by law, CareerATS and its affiliates will not be liable for indirect, consequential, incidental, special, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities, even if advised of the possibility. Our total liability for all claims arising out of or related to the Services will not exceed the greater of (a) the amounts you paid to us for the Services in the twelve months before the claim or (b) one hundred U.S. dollars ($100).
14) Indemnification
You will defend and indemnify CareerATS and our officers, directors, employees, and agents against third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of law, or breach of these Terms, including any misuse of personal data you collect or submit.
15) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Georgia and the United States, without regard to conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Georgia, and you consent to their jurisdiction and venue.
16) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice (for example, via the app or email). Continued use of the Services after the effective date of updated Terms constitutes acceptance of the changes.
